Your submission confirms your acceptance of the Accredited Operative Agreement and enables us to maintain an accountable, secure, and professional network.


This Accredited Operative Agreement (“Agreement”) is made on the date of acceptance by the Operative, between The Plenipotent Company Limited, a company registered under the laws of the Federal Republic of Nigeria, having its principal place of business at Plot 10, Block XVI, Ibadan Town Ext Scheme 2, Lagos Road, Felele, Ibadan, Oyo State (“the Company”), and the undersigned Accredited Operative ("the Operative")

1. Purpose and Scope

This Agreement sets out the mutual understanding between The Plenipotent Company and the Operative concerning participation in the Company’s professional network as an Accredited Operative.

The purpose of this arrangement is to establish a framework for collaboration that promotes professionalism, confidentiality, ethical conduct, and shared value creation while maintaining flexibility, fairness, and legal protection for all parties.


2. Nature of Relationship

2.1 The Operative participates in the network as an independent contractor, not as an employee, agent, or representative of the Company.

2.2 This Agreement does not create an employment relationship, joint venture, or partnership.

2.3 The Operative is responsible for managing their own taxes, insurance, and statutory obligations in accordance with applicable law.


3. Accreditation and Engagement

3.1 Accreditation grants the Operative eligibility to collaborate on Company-approved projects, access certain resources, and represent the network in a professional capacity.

3.2 Accreditation does not guarantee assignments or compensation unless specifically agreed upon in a separate project or service contract.

3.3 The Company reserves the right to review or revoke accreditation based on performance, conduct, or breach of this Agreement.


4. Confidentiality and Data Protection

4.1 The Operative shall treat as strictly confidential all information, materials, and communications obtained through association with the Company or its clients.

4.2 Confidential information shall not be disclosed to any third party without written consent, nor used for personal or commercial gain.

4.3 Upon termination or at the Company’s request, all confidential materials must be promptly returned or securely deleted.

4.4 Both parties agree to comply with applicable data protection and privacy laws (including GDPR principles where relevant).


5. Intellectual Property

5.1 Unless otherwise stated in a project-specific contract, intellectual property created by the Operative in the course of assignments for the Company or its clients shall belong to the commissioning party.

5.2 The Operative may include such work in a personal portfolio only with prior written consent and provided client confidentiality is maintained.

5.3 All proprietary materials, systems, or frameworks belonging to the Company remain its exclusive property.


6. Professional Conduct and Brand Representation

6.1 The Operative agrees to uphold the highest standards of integrity, respect, and professionalism in all engagements.

6.2 The Operative shall not misrepresent affiliation, credentials, or authority under the Company’s name.

6.3 The Operative agrees to embody the Company’s values of service, innovation, collaboration, and meaningful impact.

6.4 Discrimination, harassment, misuse of information, or unethical behaviour of any kind will result in immediate termination of accreditation.


7. Non-Solicitation and Collaboration Ethics

7.1 The Operative shall not directly solicit or engage clients, partners, or personnel introduced through the Company for independent work without prior written consent.

7.2 The spirit of this clause is to promote fair collaboration and maintain trust across the network.

7.3 The Operative is encouraged to collaborate openly within the community, respecting boundaries and shared opportunities.


8. Compensation and Payment Terms

8.1 Compensation for specific assignments will be governed by separate written agreements outlining scope, deliverables, and payment terms.

8.2 The Operative shall submit invoices as directed upon completion of assigned work.

8.3 The Company will make timely payments in line with agreed terms for each project.


9. Duration and Termination

9.1 This Agreement takes effect upon the Operative’s acceptance and remains valid until terminated by either party with written notice.

9.2 Either party may terminate this Agreement at any time for convenience or for cause (including misconduct or breach).

9.3 Upon termination, the Operative shall cease using all Company materials and return or delete any confidential information.


10. Dispute Resolution and Governing Law

10.1 The parties shall seek to resolve any dispute amicably through discussion or mediation.

10.2 If unresolved, disputes shall be subject to the jurisdiction of the competent courts in the Federal Republic of Nigeria (or another mutually agreed jurisdiction).


11. General Provisions

11.1 This Agreement constitutes the entire understanding between the parties concerning accreditation and supersedes any prior communications on the subject.

11.2 Amendments must be made in writing and mutually agreed upon.

11.3 Failure by either party to enforce any provision shall not constitute a waiver of rights.

11.4 If any part of this Agreement is found invalid, the remaining provisions shall remain enforceable.


12. Acceptance

By completing the Accredited Operative Onboarding Form or clicking the confirmation checkbox, the Operative acknowledges that they have read, understood, and accepted the terms of this Agreement.
